Commercial Rights Agreement

Other Important Information

Subject to Customer’s continued compliance with the terms of this Agreement, Issuer grants Customer, for as long as Customer owns the NFT (as recorded on the relevant blockchain), a worldwide, non-exclusive, non-sublicensable, royalty-free license to use, copy, and display the Art linked to Customer’s Purchased NFTs, along with any Extensions that Customer chooses to create or use, for solely the following purposes: 1. For Customer’s own personal and/or commercial use for the purpose of commercializing Customer’s own products or services that include, contain, or consist of the Art for Customer’s Purchased NFTs, and/or to use such Art in movies, videos, or any other forms of media up to but not exceeding $500,000 USD per year, if the commercial use of the KWIC NFT Art work exceeds this amount per year an agreement between Keyboard Warriors Internet Café and the owner of the KWIC NFT must be agreed upon. 2. As part of a marketplace that permits the purchase and sale of Customer’s NFTs, provided that the marketplace cryptographically verifies each NFT owner’s rights to display the Art for their Purchased NFTs to ensure that only the actual owner can display the Art. 3. As part of a third party website or application that permits the inclusion, involvement, or participation of Customer’s NFTs, provided that the website/application cryptographically verifies each NFT owner’s rights to display the Art for their Purchased NFTs to ensure that only the actual owner can display the Art, and provided that the Art is no longer visible once the owner of the Purchased NFT leaves the website/application. 4. Efforts to sell or otherwise transfer the associated NFT consistent with the ownership of it (e.g., posting the Art on a sale listing on an NFT marketplace). For the sake of clarity, nothing in this Commercial Rights Agreement will be deemed to restrict Customer from (i) owning or operating a marketplace that permits the use and sale of NFTs generally, provided that the marketplace cryptographically verifies each NFT owner’s rights to display the Art for their Purchased NFTs to ensure that only the actual owner can display the Art; (ii) owning or operating a third party website or application that permits the inclusion, involvement, or participation of NFTs generally, provided that the third party website or application cryptographically verifies each NFT owner’s rights to display the Art for their Purchased NFTs to ensure that only the actual owner can display the Art, and provided that the Art is no longer visible once the owner of the Purchased NFT leaves the website/application.
